Terms & Conditions for Invictus

Invictus Web Solutions Pvt. Ltd. is headquartered in Aurangabad, Maharashtra, India.

We provide services including but not limited to:

• Website Design & Development
• eCommerce Development
• Mobile Application Development
• SEO & Digital Marketing
• Web Hosting & Domain Assistance
• Branding & Graphic Design
• Software Development
• Technical Consultation

A project shall be considered accepted only after:

• Written confirmation from the Client, and/or
• Advance payment is received

Invictus Web Solutions Pvt. Ltd. reserves the right to refuse or cancel any project at its discretion.

All financial obligations are governed by the following terms:

• All invoices must be paid within the due date mentioned on the invoice
• Advance payments are non-refundable unless otherwise agreed in writing
• Delayed payments may result in project hold, service suspension, or additional charges
• Final website/app files, credentials, or ownership transfer will be provided only after full payment clearance

Ownership and IP are clearly defined as follows:

• All designs, source code, graphics, content, and development work remain Company property until full payment is received
• Upon complete payment, ownership of final approved deliverables will be transferred to the Client unless otherwise agreed
• Third-party plugins, themes, APIs, fonts, software, and licenses remain subject to their respective owners' terms

The Client agrees to:

• Provide required content, images, credentials, and approvals on time
• Ensure all provided materials are legally owned or licensed
• Review and approve work within reasonable timelines

The Company shall not be responsible for project delays caused by incomplete information or delayed responses from the Client.

Revision and scope management terms:

• Revisions are limited to the scope agreed in the quotation/proposal
• Additional features, pages, integrations, or modifications outside the approved scope will be charged separately

We may assist with hosting setup, domain registration, email configuration, and third-party integrations. However, we are not liable for:

• Server downtime or hosting failures
• Data loss or cyberattacks
• Third-party outages or plugin/theme vulnerabilities
• Domain expiry

We do not guarantee specific Google rankings, website traffic, leads, sales, or advertising performance. Digital marketing results depend on multiple external factors beyond our control.

Support terms are defined per engagement:

• Support is limited to the duration and scope mentioned in the proposal or invoice
• Ongoing maintenance, updates, backups, or security services may require separate AMC/support plans

If the Client remains inactive or unresponsive for more than 30 days, the project may be marked inactive. Additional reactivation charges or revised timelines may apply.

Invictus Web Solutions Pvt. Ltd. shall not be liable for indirect losses, business interruption, loss of profits, data loss, cybersecurity incidents, or third-party service failures. Our total liability shall not exceed the amount paid by the Client for the concerned service.

Either party may terminate the project/service with written notice. Any completed work, pending dues, or non-refundable expenses incurred until termination shall remain payable.

Both parties agree to maintain confidentiality of sensitive business information shared during the project.

These Terms & Conditions shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts located in Aurangabad, Maharashtra.

Invictus Web Solutions Pvt. Ltd. reserves the right to update these Terms at any time without prior notice. Continued use of our services constitutes acceptance of any revised terms.
